Colorado Music Business Organization Board of Directors Meeting

Sunday, April 4, 2021 – 7:00 p.m.

1. Called to Order at 7:09 p.m.

Present: David Barber, Jamie Krutz, Sheena Morgan, Alex Teitz, Johnnie Johnson

Absent: [Easter] Annette Cannon (excused); Barb Dye (excused), Tracey Chirhart, Clark Hogan, Angela Whaley

A quorum was not achieved with only 5 Board Member present.

Note for our records: Our esteemed board member Lee Bagby passed away on March 4, 2021 due to complications of Type 1 Diabetes. Lee attended the general meeting on February 22^nd but got very sick after that. More under New Business.

2. Consideration and Approval of the Minutes of March 7, 2021: Johnnie Johnson so moved, Sheena Morgan seconded. Approved. This vote will need to be re-done when a quorum is present.

2. Twitter Account Followers: COMBO has 7694 followers which is up from 7,693 followers as of the 3/07/21 report.

3. Facebook Account Activity: COMBO has a total 1519“likes” which is up from 1,489 “likes” as of the 3/07/21 report. [This figure can only go “up” as it is an accumulative report from the time the page was opened.]

4. Google Analytics Report: In March 2021 there were 3973sessions, which is up 14% from last year when we had 3489 sessions in March 2020. There was a spike of about 500 sessions on March 22, associated with the Chuck Morris general meeting.

Any way we can combine both? i.e., live feed from a venue so that our members from Colorado Springs, Pueblo, Longmont, Fort Collins can “attend?”

16: Storage for COMBO Stuff: Barb called Lee but, obviously, he did not return the call. Under the circumstances, we’ll need to find another space. Maybe sign a contract in case stuff stored at someone’s place. Whoever assumes takes it on needs insurance (home & renters)

17. COMBO Organization By-Laws: We’ve approved changes to the first four sections. Barb read the following into the Minutes of March 3, 2021, per Roberts’ Rules of Order requirements. Tabling Article V until May with note. Dave – if ever unable to attend a meeting. You can assign your votes to another board member. Can make a quorum that way

ARTICLE V

Meetings of Members (General Meetings)

1. Regular meetings of the members of the corporation shall be held from time to time as shall be determined by the Board of Directors and notice thereof shall be given to members of the corporation at least three (3) days in advance by telephone call or e-mail message, or via such other procedure approved by the Board. Special meetings of members may be called by the Board upon similar notice.

2. The annual meeting shall be held in the fall of each year or at such other time as shall be fixed by the Board of Directors, for the purpose of the transaction of such business as may come before the meeting. Except as may be otherwise provided in these Bylaws or decided by the Directors, one-tenth of the members shall constitute a quorum for the transaction of business in any meeting of the corporation. A majority of the quorum is necessary for member action of items put before the members by the Board of Directors.

This clause asks for “one-tenth of the members” at an annual meeting which, to the best of Barb’s knowledge, has never been held. At this point in time, we technically have only FOUR members that equal one-tenth. We pretty much have been tending to ALL business of the organization during the Board meetings. Barb proposes that we delete the part of the clause after the words “decided by the Directors” altogether.

3. The Board of Directors may designate any place, either within or without the State of Colorado, as the place of meeting for any regular or annual meeting or for any special meeting called by the Board of Directors. Add in language about Zoom or other media??

4. Members may vote in person or by proxy executed in writing by the member or by his duly authorized attorney in fact. Such proxy shall be filed with the secretary of the corporation before or at the time the vote is made, unless otherwise provided in the proxy. Each person who has been issued a membership card, regardless of the type of membership (i.e., individual, band, business, etc.) is entitled to one vote.

We may want to delete this clause as it really no longer applies since meetings are now held virtually so it does not matter where the member is at the time of the meeting. Also, since we are no longer issuing membership cards, this sentence no longer applies either.

Paid members include people given memberships. Members in good standing would also include current and previous board members.

18. California Law on Gig Workers: Update: No update

19. Re-opening of Bars, Clubs & Theaters: Colorado has started allowing reopenings in certain counties if they have succeeded in lowering the number of COVID cases in their areas. A lot depends on the population of their counties. As of this writing, more than 560,000 people in the U.S. have died from COVID-19, with 6,172 of them being Colorado residents with 700+ in each of the 7 largest populated counties.

Dave went to Herman’s. 175 people cap. Not sold out. Place has been very busy. Jill says people are being stupid (not social distancing while drunk) and getting hammered.

20. Songwriting Contest for 2021: Starts May 1^st. JUDGES? Send Barb your nominee! Tony Shawcross from Denver Open Media volunteered as did another DJ from KGNU. Johnnie may ask his artists to submit. Sheena talked to Doug Bohm to be a judge. Wants details. Rob will strip out song name from metadata. Does COMBO have songwriting judging criteria?

21. Vintage Voltage Expo / Guitar Show / Toy Show: To be held at the Delta by Marriott at 120^th & I-25 on Sunday, September 12^th. At this time, Barb plans to have a COMBO booth there. She hopes to work out a deal to trade a booth for advertising. The VVE (Dana Cain) is a paid member of COMBO. Duane Evarts with the Guitar Show was a member – we might want to send him a renewal reminder. Question is whether Dana is member at all. Send Barb current membership list. Jamie will helping Barb with this. Dana member until 2019. Now expired.

6. New Business:

a. Ways to Honor Lee Bagby: Barb sent out a note to the board asking for ideas to honor Lee for his service to COMBO. Annette suggested that we donate to the Diabetes Foundation in Lee’s name. The foundation has a mechanism that you can set up for each honoree where you can leave your name and tribute. Note that Lee donated $100 toward a new computer for Barb for COMBO business. Sounds kind of weird to donate $100 to the DF in Lee’s name but then Barb got to thinking that donations “wouldn’t be paying Lee back” but would rather “be paying the $100+ forward”. Barb will donate and set up such a page and will put in the newsletter, too.

Also, Barb was wondering if we could set up a simple paragraph at the top of the Board Members page saying something like “COMBO would like to remember its dearly loved board members Barb Dunmall (served from 2006-2010) and Daryl “Lee” Bagby (served from 2018-2021) who worked tirelessly to help all musicians out with the business of music.” [Barb tried to add this but couldn’t get the info to “stick” – maybe David could advise her on how to do it.]

Finally, as cold as it sounds, we might want to start looking for another board member. Barb likes to keep the board at 11 members – an odd number so that, if necessary, she can break a tie in any voting. Suggestions:

Lee’s sister Avis – Lee wanted people to donate to arts organizations. COMBO is an arts organization. DF may not honor Lee. Plenty of young musicians need support. Maybe we give support we give it to them in Lee’s name.

 

David Barber suggested COMBO set up an annual thing. Lee Bagby Award. Barb & Lee Award? Give to a musician. Give $100 to a nice young musician.

Jamie – Instruments drives. Collaborate with organization and attach name to. Maybe 9news or Twist and Shout.

Jamie – For songwriting contest – one award named in Lee’s honor.

Jamie finding a new board member – extend our diversity. Put something in e-mail blast to recruit. Open to everybody. Promoting diversity to.

What do we want new board members to bring to the table? Are there skills we’re lacking? Interest in different genres of music not represented. Biz end of music. Can “show up.” Passion to learn. We’re open to people under 30. Being a Board Member can give you a number of volunteer opportunities.

Discussion on possibility of a COMBO Interns? Maybe work in conjunction with Chuck Morris or Storm Gloor for accrediation? What criteria is COMBO looking for? Angela Whaley joined as an intern. Want Angela’s input. A possible catch, will intern earn college credit? How will intern be accredited and evaluated? Sheena Morgan did intern evaluation work in Boston. Maybe Chuck & Storm could oversee. Chris Daniels. Andy Guerrero. Jamie Community College. b. Goals – David & Sheena: Originally wanted to present before Board before COVID hit. David Barber presented ideas for COMBO goals based upon list drawn up before COVID. He has also been tracking general meeting data so we can track our progress.

• Increased membership 10% (40 members. stretch goal 50)

• Increased member engagement

• Increased member retainment 10% 20%

• Increased event attendance 25% – Dave has spreadsheet collecting data

2018 – 8 meetings – 23.125 people/meeting – Songwriting Contest biggest attendance. Xmas party lowest attendance. Guitar Show no meeting. No data from that. Mark & Barb may have data.

2019 – 8 meetings – 25.875 people per meeting . Booking Tony Mason – 56 people, Randy Rixon – 7 people. Songwriting contest – 64

2020 – 8 meetings – 23.5 people per meeting. Feb Tony Mason – 62 people.

2021 – 3 meetings – 30 people or more would be a big increase – 35 Chuck Morris, 40 Artist Mgmt, 24 at Grammys

Would be good to see graph of data. Repeat vs unique people. Intern could help us with. Is there is student membership? Meeting minutes has data, Jamie will chart data.

• A higher percentage of on-time dues payment 100% (with notices and plan for future automation) Sheena automating would get rid of admin work, give more time to be proactive. Money for software. Can’t afford.

• High revenue growth, bring in more $$ than we spend. We haven’t pushed for people to rejoin because of COVID. As recovery happens can push.

If we formalize, standardize, and commit to a set a of procedures, you will end up with disorganization, now way of measuring progress and no way of scaling growth.

c. What are NFTs (Non-fungible tokens)? – Jamie: Jamie will try to explain this new “form of currency” in 20 words or less that is relevant to the arts. Work of art attached to blockchain and unique. NF is unique. Copies are unique. Signed baseball card. First edition of a book. Value whether believe it matters. Can influence market. Money laundering under blockchain. What if there were a way to make digital art unique for value to artists? Discussion brought up examples of blockchain but also weighed heavily on “buyer beware.”

Book, Movie, and Featured Member(s) for March 2021: Book: None; Movie: No choices made for March although Barb did mention movies nominated for several awards including the Academy Awards, The Grammys, and Movies for Grownups: ‘The United States vs. Billie Holiday’, “One Night in Miami” (Sam Cooke), “Ma Rainey’s Black Bottom”, “The Sound of Metal” (about hearing loss in musicians), and “Bill & Ted Face the Music.” Member: No one although we now have several more biographies to choose from. All will be mentioned at some point in time. Colorado Blues Society featured business member in last newsletter. Mile High Blues Society swapping memberships with COMBO.

2. March 22, 2021: Chuck Morris with AEG and is now the director of the new Music Business Department at CSU (Colorado State University), Fort Collins, agreed to speak regarding a variety of subjects including his plans for the MB courses at CSU.

She talked a little about artist management and about her upcoming Management Class, “Digging Deeper into Management” on Monday, April 26^th via Zoom. Note that we gained two memberships from that meeting – one individual (Ryan Dart) and one band (Mona Ayoub’s)! Storm’s class was limited to 50 (total) attendees. He is having former students speak on their specialties and Reilly talked about Marketing & Promotion during this particular class.

4. Colorado Springs Meeting: Tabled due to the coronavirus pandemic.

5. Denver Balanced Breakfast: We are going to announce the virtual 2021 music summit lineup today (March 29^th)! Friday, April 16^th thru Sunday, April 18^th. Announcement signed by Reed & Michael..

7. Mental Wellness Discussion Group Meeting – Angela Whaley’s report: The group is meeting on the 1^st & 3^rd Mondays of the month. The group is open to the public and everyone is invited to attend. 6-7 pm via Zoom.

b. Womxn Crush Music: Womxn Crush Music is super excited to announce a last-minute event with the one and only Ari Ashfar at 8:00 p.m. EST on Tuesday, March 30^th. Did not receive this in time to put in the newsletter.

c. Setting the Stage with Julie Gellar: Julie has offered several virtual concerts which seem to be doing well for her. She usually asks for $20 per “ticket”. Since she is still in Israel, she apparently is getting that, probably from relatives, close friends, and her fans.

d. Mountain Mamas Music: Last post 11/14/20. They mostly offer workshops.

e. Women in Music in Denver: Last post 2/26/21. Join the Denver chapter for a FREE virtual roundtable discussion on March 11^th at 6:30 p. We will be covering the most important things you need to know to get your business up and running. We’re excited to have a strong lineup of womxn leading the conversation covering everything from practical advice to the specific challenges womxn face in music entrepreneurship. | Alex Teitz sent a couple of notices on special events they were holding but promotion was via poster only — no press release — so Barb has to retype the info in order for it to be included in our newsletter. She will do that if she has time, or at least post it in the calendar area or put the “poster” in as a “photo” for our announcements article.

f. Soundgirls – Girls in Science DMNS: Last post January 20^th by Sheena Morgan (COMBO) about having Anna Frick and Christen McFarland speaking.

Kyle Lamar posted this on 3/30/21: I am completely broken having to write this post. I don’t understand people and so sad that we live in this fucked up world! My car was broken into yesterday and my heart and soul was taken! My RED camera package was stolen from me in my own driveway!! Over $50k worth of lenses and camera equipment is gone! I work my ass off day in day out to help this community and my friends and just stunned this shit could happen twice in 2 months. This was more than just a camera to me.. It was over 20 years of hard work, blood sweat and tears.. My business was kicking ass at the moment, as we were filming 3-4 shoots a week! We were absolutely on fire and just like that my world turned upside down … I feel lost, and hopeless at the moment! I don’t have enemies, and treat everyone with love and respect. I am a giver and never ask for shit in return. I feel like giving up and moving on from filming… it’s too stressful and heartbreaking to even think someone else is trying to force me out of something that has made me happy for 20+ years! 9/10 I’m an a terminator and if I get knocked down, I’m right back on my feet ready to take another punch in the teeth. My life is dark at the moment and just begging to see some sort of light. Some may say it’s just a camera and replaceable, but there is way more to it than just a camera body. That camera was everything to me!! Asking for prayers at this specific rough moment in my life. The serial # to my RED 8k s35 camera is – (E-W005893). I am offering a huge cash reward to anyone that knows anything. Please let’s catch this piece of shit and make him rot!! It’s super sad looking at some of these pictures. My camera will be missed, but just so thankful I have my family and kids. Love all my friends and hope someday I can can let go of this anger and pain. One love!

12: Amp the Cause: Is a Denver nonprofit organization that raises awareness about critical family issues and supports local charities. Since 2004, Amp the Cause has given over $9.8 million back to the community. Is this organization “music centric”? Amp the Cause is the organization that puts on Denver Day of Rock as a fundraiser – However, the organization is not “music centric”. In other words, they really do not promote music or musicians. They put on fund-raisers using bands but that is not their focus. https://denverdayofrock.com/

Denver Day of Rock is a one-day music festival benefiting the work of Amp the Cause. This free event features five stages of live music along Denver’s 16th Street Mall on Memorial Day weekend. Denver Day of Rock unites the community through music and family friendly entertainment while also raising funds to help Amp the Cause continue to support non-profits in our community.

VIP LOUNGE PASSES: $250 each
