MINUTES Colorado Music Business Organization Board of Directors Meeting Sunday, January 3, 2021 – 7:00 p.m.   Zoom Meeting   
  1. Called to Order at 7:10p.m. 
  Present: Barb Dye, David Barber, Annette Cannon, Tracey Chirhart, Johnnie Johnson, Jamie Krutz, Sheena Morgan, Alex Teitz, and Angela Whaley. Absent: Lee Bagby (excused), Clark Hagan Guests: None
  • Consideration and Approval of the Minutes of December 6, 2020: Annette_Cannon so moved, Jamie Krutz seconded. Approved with minor corrections.

  Current Paid Members: 19 (15  individual, 2 businesses, and 2 bands, Board Members ?)   New Members: Paul Fiorino Supporter: None Individual: None Band: None Business: None   Sheena reported that these members have not renewed for December yet: John Reed Austin, Brent Wadman_(Mesner Business?), and Matt Eaton(Super Delicious Records)   Sheena reported that the following memberships are up for renewal in January: Thomas June   (Please note that the board voted at the March 2020 meeting to suspend renewal notices until a later date due to the coronavirus shut down. These names are for reference only).    Sheena would like bring back renewal notices for 2021. Discussion on this. Decision is send notices with offer to renew and get additional months, along with 1 free song entry into songwriting contest. This replaces New Business below.    Membership “Welcome Surveys”: Sheena reported that we did not receive any surveys in December.

  1. January 25, 2021: Ask Chris Daniels and Jock Bartley to talk. Annette suggested that maybe Ashesh Dangol would be willing to speak on the music scene overseas since he plans a trip to the U.S. in January. Barb will contact Chris & Jock to see if they would be available for a ZOOM meeting.
  Since the Grammys are to be presented on Sunday, January 31, 2021, perhaps both Chris & Jock could talk on the Grammy process. Both of them have been nominated for Grammys and have attended the ceremonies. We might be able to get someone from AirShow Mastering to participate as well since Dave Glasser is a member of the National Academy of Recording Arts & Sciences (NARAS) (the group that runs the Grammys) and has been working to get a chapter started here since Colorado members are considered part of the San Francisco chapter. Also, we do have a Boulder, Colorado resident, Richard O’Neill, who has been nominated for his solo violin album in the “Classical Music” category.   Board discussion.   1. Current Email Subscribers: COMBO has 2544 subscribers which is down from the 2,547 reported at the 12/06/20 Board Meeting. As of the _12/31/20 newsletter, we had 18% opens and 4% click thrus.
 
  1. Twitter Account Followers: COMBO has _7694 followers which is down from 7,711 followers as of the 12/06/20 report. 
 
  1. Facebook Account Activity: COMBO received 1482 “likes” which is up from 1,481 “likes” as of the 12/06/20 report.
 
  1. Google Analytics Report: In December 2020, there were 5162 “Sessions” which is up _99% from December 2019 when it was 2596. The most viewed article (1744 sessions) in December 2020 was a story regarding Thoughts & Prayers – Jeremy- Jeremih posts first photos since COVID – 1744 sessions

  1. COMBO Organization By-Laws: We approved changes to the first three sections. Barb read the following into the Minutes of November 1, 2020, per Roberts’ Rules of Order requirements.
  ARTICLE IV Officers and Their Election  
  1. The officers of the corporation (re positions) … [No changes needed]

  1. Any officer or agent may be removed by the Board of Directors whenever in its judgment the best interest of the corporation will be served thereby, but such removal shall be without prejudice to the contract rights, if any, of the person so removed.  Election or appointment of an officer or agent shall not of itself create contract rights. A vacancy in any office because of death, resignation, removal, disqualification or otherwise, may be filled by the Board of Directors for the unexpired portion of the term.
  Motion to remove language in red Johnnie Johnson – David Barber second. Motion is approved  
  1. The President shall be the chief executive officer of the corporation and shall in general supervise and control all of the business and affairs of the corporation.  He or she shall preside at all meetings, sign documents for the corporation, including deeds, mortgages, bonds, contracts, or other instruments which the Board of Directors has authorized to be executed, except in cases where the signing and execution thereof shall be expressly delegated by the Board of Directors to some other officer or agent of the corporation or shall be required by law to be otherwise signed or executed; and in general shall perform all duties incident to the office of President and such other duties as may be prescribed by the Board of Directors from time to time.
  Motion to remove language in red Motion – Sheena Morgan. Seconded by Annette Cannon. Motion is approved.   
  1. If elected or appointed by the Board of Directors, a Vice President shall serve as aide to the President and act in the absence of the President and perform all duties of President in the event of the death [adding the words – or incapacity] of the President and when so acting shall have all the powers of and be subject to all of the restrictions upon the President. Any Vice President shall also perform such other duties as from time to time may be assigned by the President or by the Board of Directors.
  Motion to include language in red Motion by Annette Cannon. Seconded by Sheena Morgan. Motion is approved. 
  • The Secretary shall (a) keep the minutes of the proceedings of the general meetings and those of the Board of Directors; (b) see that all notices are duly given in accordance with the provisions of these Bylaws or as required by law; (c) be custodian of the corporate records and of the seal of the corporation; (d) keep a register of the addresses of each member; and (e) in general perform all duties incident to the office of Secretary and such other duties as from time to time may be assigned by the President or by the Board of Directors.
  Board discussion to remove language in red. Decision to keep language in (d) about keeping a register of the addresses of each member;   Motion to remove language in red in subsection C by Sheena Morgan, Seconded by Tracey Chirhart. Motion is approved.   Barb will provide secretary with copy of roster.   Board discussion on inventory and where official records of COMBO are kept.             Inventory of what COMBO owns             Barb has folding white table, small dolly, display stuff, notebooks.             Mark has brown table, big dolly, hundreds of CD’s, and notebooks             Annette has a friend looking for something to scan. May be able to help.             Dave asked about Official corporate records notebook? Barb knows of none.  
  1. The Treasurer shall have charge and custody of [No changes needed]

Assistant officers may be elected by the Board of Directors and shall perform such duties as are assigned to them by an officer or by the Board of Directors.  If the Board of Directors shall so require any officer or agent of the corporation shall give bond to the corporation in such amount and with such surety as the Board of Directors may deem sufficient, conditioned upon the faithful performance of their respective duties and offices.  The salaries of officers, if any, shall be fixed from time to time by the Board of Directors and no officer shall be prevented from receiving such salary by reason of the fact that he or she is also a Director of the corporation.
  Motion to remove 2nd sentence in red by Jamie Kurtz. Seconded by Sheena Morgan. Motion is approved.    Discussion of yellow text. After discussion Board agrees to leave text as is.   
  1. California Law on Sub-Contractors: Update: Nothing at this time.
 
  1. Reopening of Bars, Clubs & Theaters: The state of Colorado has started allowing some to reopen in certain counties if they have succeeded in lowering the number of COVID cases in their areas. A lot depends on the population of their counties. As of this writing, more than 330,000 people in the U.S. have died from COVID-19, with 4,738 of them being Colorado residents.

  1. New Business:
  • Zoom Admin Helper: Barb decided just to go with a conference call this month. We’ll work on the Zoom for the January 25th meeting. Angela Whaley can be available to run COMBO Zooms in the future. Has requested calendar invite with appropriate link which may make it easier to include in general meeting links. 
 
  1. New computer for Barb: David ordered a new computer and Barb received it a few days      before Christmas. Unfortunately, due to being super busy over the Christmas holidays, Barb did not get a chance to set it up. Hopefully she’ll be able to work on that over the New Year’s holiday. We approved spending up to $500 toward the purchase of a new computer, and Lee donated an additional $100. David has donated $100. Barb will cover the difference between the $600 and any software she needs. Cost of the computer was $490.71 Barb needs to write a check for it.
  • Events/show Notice Submissions (Sheena)– I would like to reinstate an event/show submission cycle for members. For example, any event or show that a member would like included in the newsletter will need to be sent by Tuesday the week before the event. Her intention is to create a submission cycle so that members have expectations on what can be shared and when. Also when shows start up. Barb wants more on local/Colorado stories. Mike Martinez (53) of National Speaker & Sound has died. (Her other request was covered under D. Memberships).
 
  1. Reinstating Membership Renewals (Sheena)– I would like to reinstate our membership renewal process. I am drafting an email to share with members on expectations for 2021. (see previous discussion)

  1. Book, Movie, and Featured Member(s) for December 2020: These items did not get tended to for December. 
 
  1. December 2020 Meeting: We decided to go with “12 Movies and/or Shows to Watch for the Holidays.” Barb offered a list of music-related movies and shows that people could stay home to watch (the movie theaters are also shut down at this time). We did receive a note from Holly Smith of American Classic Piano. She said she loved the list and was watching for the movies and shows so that she could check out our suggestions!

  1. Denver Open Media Open Music Sessions: Program planned for Friday, January 8th may be held. Johnnie’s shows are on hold for the moment. Johnnie is starting Tuesday.
